Terms of Service

Welcome to Agnitra AI (“Agnitra,” “we,” “us,” or “our”).

These Terms of Service (“Terms”) govern your use of:

  • The Agnitra AI website (agnitra.ai)

  • Agnitra AI platform, dashboard, and web services

  • Agnitra CLI, SDK, APIs, and runtime optimization agent

  • All optimization, telemetry, and kernel-generation tools

  • Any associated applications, integrations, or products

    (Collectively, the “Services”)

By accessing or using the Services, you agree to these Terms.

If you do not agree, do not access or use the Services.

1. Eligibility

To use Agnitra AI, you must:

  • Be at least 18 years old

  • Have the legal authority to bind your company (if applicable)

  • Use the Services in compliance with these Terms and applicable laws

If you are using Agnitra AI on behalf of an organization, “you” means that organization.

2. Description of Services

Agnitra AI provides an AI-native runtime optimization platform that includes:

  • Model telemetry collection

  • IR graph extraction (torch.fx/ONNX/other formats)

  • LLM- and RL-driven optimization recommendations

  • Kernel generation (Triton, CUDA, MLIR, etc.)

  • Runtime patching and auto-tuning tools

  • Performance analytics, benchmarking, and dashboard visualizations

  • Cloud and on-prem (enterprise) deployment options

  • API, CLI, SDK, and agent-based integrations

We reserve the right to modify, update, or discontinue any part of the Services at any time.

3. Accounts and Security

3.1 Account Creation

You must create an account to access certain features. You agree to:

  • Provide accurate information

  • Keep your credentials confidential

  • Notify us immediately of unauthorized access

3.2 Responsibility

You are responsible for all activity conducted under your account.

4. Acceptable Use

You agree NOT to:

  1. Use the Services for illegal, harmful, or abusive purposes

  2. Reverse engineer, modify, or decompile any part of the Services

  3. Attempt to access data or systems without authorization

  4. Circumvent technical protections or usage limits

  5. Upload malware, harmful scripts, or unauthorized code

  6. Use the platform to analyze or optimize malicious models (e.g., malware, exploit generators)

  7. Resell or redistribute the Services without written permission

  8. Interfere with the functionality of the platform or other users

We may suspend or terminate accounts violating these Terms.

5. User Data & Telemetry

5.1 Data Types You Provide

Depending on your usage, you may provide:

  • Model telemetry (latency, memory, kernel timings, shapes)

  • IR graphs (torch.fx, ONNX, MLIR metadata)

  • Hardware / performance profiles

  • Logs from the CLI, SDK, or runtime agent

  • Optional model metadata

5.2 Model Weights

Unless explicitly uploaded by you:

Agnitra AI does NOT access or store your model weights by default.

5.3 Data Security

We use industry-standard encryption and controls to safeguard data.

Enterprise/on-prem customers may prevent any cloud upload.

5.4 Our Use of Telemetry Data

To provide and improve the Services, we may:

  • Process and analyze telemetry

  • Run optimization algorithms

  • Improve RL/LLM performance (anonymized/aggregated)

  • Ensure compatibility with new models and hardware

We do not train foundation models directly on customer data.

6. Intellectual Property

6.1 Our IP

Agnitra AI owns all rights to:

  • Software, dashboards, CLI, SDK, API

  • Optimization algorithms (LLM, RL, compiler strategies)

  • Kernel templates and runtime patch systems

  • Documentation, branding, and all derivative works

Nothing in these Terms transfers IP ownership to you.

6.2 Your IP

You retain ownership of:

  • Your models

  • Your telemetry

  • Your IR graphs

  • Your code and data

We claim no ownership over your model assets.

6.3 License for Service Operation

You grant Agnitra a limited, revocable license to process your data for

  • Optimization

  • Debugging

  • Security

  • Platform improvement

This license ends when you delete your data or close your account.

7. Subscription, Billing & Refunds

7.1 Paid Plans

Paid subscriptions offer enhanced features such as:

  • Unlimited optimizations

  • Advanced kernel generation

  • Enterprise features (SSO, on-premise, SLAs)

  • Priority support

  • API limits increases


7.2 Billing

  • Payments are processed securely through third-party providers (e.g., Stripe).

  • Subscription fees are billed monthly or annually.


7.3 Cancellation

You may cancel anytime.

Access continues until the end of the billing cycle.

7.4 Refunds

All fees are non-refundable, except where required by law.

8. Beta Features

We may offer early-access or experimental features (“Beta Features”).

You understand that Beta Features:

  • May be unstable or incomplete

  • Are provided “as is”

  • Should not be used in production environments

  • May be removed at any time


Your use is voluntary and at your own risk.

9. Third-Party Services


The Services may integrate with or depend on third-party tools (e.g., cloud providers, GitHub, Slack, model serving platforms).

Agnitra AI is not responsible for:

  • Their availability

  • Their performance

  • Their privacy policies

  • Their terms


You must comply with their terms of use.


10. Disclaimers

The Services are provided “as is” and “as available.”

We disclaim all warranties, including:

  • Fitness for a particular purpose

  • Reliability of optimization results

  • Uptime or availability guarantees (unless under enterprise SLA)

  • Accuracy of model performance predictions


You acknowledge that:

  • Optimization outcomes vary by model, hardware, and workload

  • No performance improvement is guaranteed

  • AI/LLM/RL-generated kernels may require validation before production use


11. Limitation of Liability


To the maximum extent permitted by law:

  • Agnitra AI is not liable for indirect, incidental, consequential, punitive, or special damages.

  • Our total liability will not exceed the amount paid by you in the last 12 months.


This includes damage related to:

  • Model performance issues

  • Data loss

  • Downtime

  • Business interruptions

  • Incorrect optimization results


12. Indemnification

You agree to defend and indemnify Agnitra AI against claims related to:

  • Your use of the Services

  • Your violation of these Terms

  • Your model, code, or content

  • Misuse of telemetry or optimization outputs


13. Termination

We may suspend or terminate your access if you:

  • Violate these Terms

  • Misuse the Services

  • Engage in harmful activity

  • Fail to pay subscription fees

Upon termination:

  • Your license to use the Services ends

  • We may delete your data according to our retention policy


14. Governing Law

These Terms are governed by the laws of:

Delaware, United States,

without regard to conflict of laws principles.


15. Changes to These Terms

We may update these Terms at any time.

We will notify you via:

  • Email

  • Dashboard notice

  • Website announcement

Continued use of the Services means you accept the updated Terms.
